NCLT Mumbai Bench allowed the merger of Mindpool Technologies into S A Tech Software India on November 3, 2026 and directed shareholder meetings within 90 days. The terms are one S A Tech share of Rs 10 for every two Mindpool shares. Creditor votes were waived after all secured creditors and 92.40% by value of Mindpool's unsecured creditors and 96.53% for S A Tech gave consent. Shareholder approval is still pending.
The merger is not final and needs shareholder approval. New shares may dilute holders, while a larger business could support growth and cost savings.
