Sammaan Capital Limited (formerly Indiabulls Housing Finance Limited) has allotted secured, rated, listed, taxable, redeemable non-convertible debentures (NCDs) on a private placement basis, raising a total of INR 280 crore. This includes Series I of 12,500 NCDs aggregating INR 125 crore at a fixed coupon of 8.8570% per annum (re-issuance, maturing December 9, 2030, with quarterly interest payments), and Series II of 15,500 NCDs aggregating INR 155 crore at a fixed coupon of 9.20% per annum (fresh issue, maturing March 5, 2036, with annual interest payments). The NCDs are secured by a first pari-passu charge on the company's financial and non-financial assets and loan receivables, with a minimum asset cover of 1.1 times. The debentures will be listed on NSE and BSE.
The company has successfully raised INR 280 crore through private placement of NCDs, strengthening its funding base for lending operations. For equity shareholders, this is debt (not equity) so there is no dilution, though it adds to the company's overall leverage and creates fixed interest obligations. The coupon rates of 8.86% and 9.20% reflect current market borrowing costs for a housing finance NBFC.
