On the reaction day the stock moved 1.6 pts less than Nifty Microcap 250 and 1.5 pts less than its Auto Components & Equipments peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.
Minute windows have no benchmark: there is no intraday index history to compare against.
Cream & Cookies Family Trust (settlor: Jayant Davar) and Hazelnut Family Trust (settlor: Monica Davar) each acquired 26,22,930 equity shares (4.36% of total equity capital) of Sandhar Technologies via inter-se transfer by way of gift on 29 August 2025. Both trusts are being included as part of the promoter group, as their settlors are existing promoters of the company. The acquisition was carried out under an SEBI exemption granted on 30 April 2025 under Regulation 11(5) of the SAST Regulations. Additionally, both trusts indirectly acquired stakes in promoter-group entities (Sanjeevni Impex, YSG Estates, Sandhar Estates, and Jubin Finance) held by the respective settlors.
This is an internal promoter-family restructuring (gifting of shares to family trusts) rather than a change in ultimate promoter control, so overall promoter holding in Sandhar Technologies remains unchanged. Shareholders need not worry about a change in management or control — it is largely an estate-planning exercise by promoters Jayant and Monica Davar.
