Sayaji Industries Ltd disclosed an inter-se transfer of 13,15,600 equity shares (20.82% of total capital) within its promoter group, effective September 23, 2025. Priyam Commercial Enterprises Pvt Ltd transferred 8,56,400 shares (13.55%) and Bini Commercial Enterprises Pvt Ltd transferred 4,59,200 shares (7.27%) to Viva Tex-Chem Pvt Ltd, without any consideration. This transfer was executed pursuant to a scheme of merger of Viva Tex-Chem with its two wholly-owned subsidiaries, approved by the Regional Director, North Western Region, Ahmedabad. After the transfer, the overall promoter group holding remains unchanged at 47,36,640 shares (74.95% of total equity capital of 63,20,000 shares). The total share capital of Sayaji Industries stands at Rs.3.16 crore (63,20,000 shares of Rs.5 each).
