SC Agrotech's board, at its meeting on December 29, 2025, approved the allotment of 2.18 crore equity shares (face value Rs. 10 each) on conversion of an equal number of fully convertible equity warrants at Rs. 16 per warrant. These warrants were originally issued on December 3, 2025 (out of a total of 7 crore warrants) via preferential allotment to 6 non-promoter individuals. Following this allotment, the company's paid-up equity capital has risen from Rs. 5.99 crore (59.95 lakh shares) to Rs. 27.82 crore (2.78 crore shares), a nearly 4.6x expansion of the share base.
This is a significant dilution event for existing shareholders, with the share count expanding by over 360% from this single conversion. The company has received capital from warrant holders, which strengthens its balance sheet, but the sharp jump in outstanding shares may put short-term pressure on the stock price.
