State Bank of India held a General Meeting on June 13, 2025, where shareholders voted on a single special resolution to approve raising of equity capital during FY2025-26. The resolution was passed with overwhelming majority, with 99.92% of votes cast in favour (approximately 15.47 crore votes) and only 0.08% against (1,27,801 votes). The voting was conducted through remote e-voting and e-voting at the meeting via NSDL's electronic platform. The Scrutinizer, M/s Bhandari & Associates, confirmed the resolution was passed with the requisite majority.
Shareholders have cleared the way for SBI to raise fresh equity capital during the current financial year. The actual mode, size, and timing of the capital raise have not been disclosed yet, but this approval gives the bank flexibility to tap the market when needed, which could lead to dilution for existing shareholders depending on how it is executed.
