Shah Metacorp's board, meeting on December 29, 2025, approved a Rights Issue of fully paid-up equity shares (face value Re. 1) for an amount not exceeding Rs. 50 Crore to existing shareholders, with the issue price and record date to be decided later. The board also approved investing up to USD 1,00,000 in its newly formed US subsidiary, Shah Metacorp Holdings USA INC, by subscribing to up to 50% of its share capital across FY2025-26 and FY2026-27. Separately, the company modified an existing unsecured loan agreement (up to Rs. 75 Crore) with promoter and director Mona Shah to include a clause allowing conversion of the loan into equity shares under the proposed rights issue, subject to shareholder approval via postal ballot. Mona Shah currently holds 12.04% (10.66 crore shares) in the company. The US subsidiary, registered in Delaware in March 2025, has not yet started operations and plans to engage in hospitality, technology, and stainless-steel products.
Shareholders may face equity dilution from the rights issue, while the promoter loan-to-equity conversion will reduce the company's debt burden and improve its debt-to-equity ratio, but could also significantly increase Mona Shah's stake. The small US investment signals an early-stage diversification push beyond core operations, with limited immediate financial impact.
