SMIL Trust (part of the promoter group of Sharda Motor Industries) has acquired 1,32,03,773 equity shares, representing 46.00% of the company's paid-up share capital, through an inter-se transfer within the promoter group. The acquisition was executed under an SEBI exemption letter (No. WTM/AB/CFD/04/2025-26) granted under Regulation 11(5) of the SAST Regulations, allowing promoter entities to reshuffle holdings without triggering takeover code obligations. The company's total equity remains 2,87,03,853 shares of Rs. 2 each (Rs. 5.74 crore capital). Since this is a transfer between promoter-group entities, the overall promoter holding of Sharda Motor Industries remains unchanged at the consolidated level.
No material impact on total promoter shareholding or on minority shareholders, as shares were merely reallocated within the promoter group. Existing shareholders should view this as internal promoter restructuring with no change in control or voting power at the company level.
