The Board of Share Samadhan Ltd, at its meeting on 1 October 2025, approved the allotment of 30,00,000 convertible warrants at Rs. 78 per warrant on a preferential basis. Each warrant is convertible into one equity share of Rs. 10 face value within 18 months. Allottees include Choice International Limited (15 lakh), Abhay Kumar Chandalia (6.48 lakh), Vikash Kumar Jain (5.52 lakh) and Arvabumi Hymavathy (3 lakh). The issue was fully subscribed and 25% of the issue price (upfront amount) has been received from the allottees. The issue price was determined as per Regulation 164 of the SEBI ICDR Regulations, which prescribes a minimum price benchmark.
This is a dilutive event for existing shareholders once the warrants are converted into equity shares over the next 18 months. The warrants have been issued to promoters and select non-promoter entities, potentially signalling confidence from insiders, but also indicating an expansion of the equity base. Investors should track the stock price relative to the Rs. 78 warrant conversion price and watch for future conversion announcements.
