Shyam Metalics' Board approved audited FY25 results with consolidated revenue of ₹15,137.5 cr (up ~15% YoY from ₹13,195.2 cr), but profit after tax fell sharply to ₹909.3 cr vs ₹1,629 cr in FY24 (the prior year had a tax credit). Q4 FY25 revenue was ₹4,139.4 cr with PAT of ₹220.2 cr. A final dividend of ₹2.25 per share (22.5% of face value) has been recommended for FY25, subject to shareholder approval. Founder-Chairman Mahabir Prasad Agarwal stepped down and was given the Chairman Emeritus title; Brij Bhushan Agarwal was re-designated from Vice-Chairman & MD to Chairman & Managing Director, pending postal ballot approval. EY was appointed as internal auditor, MKB & Associates as secretarial auditor (5-year term), and BSS & Associates as cost auditor. Statutory auditors MSKA & Associates issued an unmodified opinion.
Dividend of ₹2.25/share is modest and may not excite yield-seeking investors, especially given the sharp drop in attributable profit. Leadership transition from founder to next-generation leadership is a key governance change to watch; the postal ballot outcome will be the next catalyst.
