The Board of Shyam Metalics approved its audited consolidated and standalone financial results for Q4 and FY ended March 31, 2025, with statutory auditors MSKA & Associates issuing an unmodified (clean) opinion. On the consolidated side, full-year revenue from operations rose to Rs. 15,137.50 crore from Rs. 13,195.22 crore (about 14.7% YoY growth), while EBITDA grew about 21% to Rs. 2,096.16 crore, pushing EBITDA margin to roughly 13.9% from 13.1%. Profit before tax jumped to Rs. 1,241.19 crore from Rs. 939.80 crore (~32% growth), though reported PAT attributable to owners was Rs. 908.10 crore versus Rs. 1,034.79 crore, the dip mainly because last year's tax line had a one-time large credit. The Board recommended a final dividend of Rs. 2.25 per share (22.5% of face value) subject to shareholder approval. Founder and Chairman Mr. Mahabir Prasad Agarwal resigned citing personal reasons and was made Chairman Emeritus; his son Mr. Brij Bhushan Agarwal was elevated from Vice-Chairman & MD to Chairman & Managing Director, pending shareholder nod via postal ballot. Ernst & Young LLP was appointed as Internal Auditor, MKB & Associates as Secretarial Auditor (5-year term), and BSS & Associates as Cost Auditor for FY26.
Clean audit opinion, healthy top-line and EBITDA growth, plus a steady dividend signal operational and financial stability, likely to be viewed positively by shareholders. Leadership transition from founder to next-generation family management is a meaningful governance event but the elevation of an experienced insider (Brij Bhushan Agarwal with 30+ years in the business) suggests continuity. Watch the postal ballot outcome for the CMD appointment.
