On the reaction day the stock moved 2.2 pts more than Nifty Microcap 250 and 2.3 pts more than its Civil Construction peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.
Minute windows have no benchmark: there is no intraday index history to compare against.
Simplex Infrastructures has allotted 11,73,000 equity shares in total at Rs. 294 per share (face value Rs. 2, premium Rs. 292) to two lenders as part of debt-to-equity conversion. ICICI Bank received 10 lakh shares worth Rs. 29.40 crore under a One-Time Settlement dated 14th May 2025. NARCL (National Asset Reconstruction Company) received 1.73 lakh shares worth about Rs. 5.09 crore to maintain its 15% equity stake on a fully diluted basis under a Master Restructuring Agreement dated 15th January 2025. The allotments were approved by shareholders on 23rd June 2025 and by NSE/BSE on 21st July 2025. The newly issued shares will rank pari passu with existing shares but are subject to SEBI-mandated lock-in.
This is a debt-to-equity swap that reduces the company's outstanding loan burden, which is positive for long-term financial health. However, it dilutes existing shareholders by adding about 11.73 lakh new shares. The 15% stake taken by NARCL also means a significant government-backed entity now holds a meaningful position in the company, which could influence future decision-making.
