SK Minerals & Additives' board on June 10, 2026 approved issuing up to 55,00,000 convertible warrants at Rs. 397 each (face value Rs. 10, premium Rs. 387), raising up to Rs. 218.35 crore. The warrants will be allotted on a preferential basis to 85 allottees, split between promoters/promoter group (28 lakh warrants worth Rs. 111.16 crore) and non-promoter investors (27 lakh warrants worth Rs. 107.19 crore). Allottees need to pay 25% upfront and the remaining 75% at the time of conversion into equity shares, which can happen anytime within 18 months of allotment. The company has fixed July 9, 2026 as the EGM date to seek shareholder approval, and appointed CRISIL Ratings as monitoring agency for use of proceeds.
This is a significant equity dilution event — post full conversion, promoter holding will rise from 73.91% to 82%, while total share count will increase by about 55 lakh shares (roughly 60% expansion from the current ~90.47 lakh base). Existing minority shareholders will see their stake diluted by the new non-promoter issuances, though the promoter-led infusion signals insider confidence in the business.
