Hima Bindu Potluri, part of the promoter group of SMS Pharmaceuticals, released a Non-Disposal Undertaking (NDU) on 30,00,000 equity shares (3.38% of capital) on 19 August 2025. On 20 August 2025, she created a pledge on those same 30 lakh shares in favour of Vistra ITCL (India) Ltd (Debenture Trustee) on behalf of Avendus PE Investment Advisors (Debenture Holder). The pledge is security for debentures issued by Potluri Laboratories Pvt Ltd, another promoter entity. Her total holding is 1,50,08,840 shares (16.93% of capital), with encumbrance of 1,36,20,000 shares (15.36%). The NDU was effectively replaced by a pledge — the number of encumbered shares is unchanged.
This is a restructuring of encumbrance, not a new pledging event — the same shares remain encumbered under a pledge instead of an NDU, so ownership and total encumbrance are unchanged.
