Sodhani Capital's board approved its first-ever unaudited half-yearly financial results for the period ended 30 September 2025, with a clean limited review report from Rajvanshi & Associates (no qualifications). The company recently listed on BSE on 1 October 2025 after an IPO of 16.9 lakh fresh shares (Rs 861.90 lakhs) plus an offer-for-sale of 4.1 lakh shares (Rs 209.10 lakhs) at face value Rs 51. Basic and diluted EPS for H1 FY26 stands at Rs 2.00. The board also appointed Mr Aayush Alpesh Shah (legal professional with fund-formation expertise) as CEO for 5 years, appointed new internal and secretarial auditors for FY25-26, took possession of a new Mumbai office, and approved altering the object clause of the MOA to expand into AIF/PMS distribution, mutual fund distribution and a franchise-based advisory business, subject to shareholder approval via postal ballot.
For a newly listed small-cap NBFC, the results are procedural and broadly neutral; the more material items are the strategic pivot into AIF/PMS distribution and franchise-led financial services and a new CEO appointment, which could shape growth direction but need to be tracked over coming quarters.
