Soma Textiles has reported its Q1 FY26 (quarter ended June 30, 2025) unaudited results. The company has stopped manufacturing operations, sold off its plant and machinery, and is now engaged only in trading of cotton and cotton yarn. Revenue from operations rose to Rs. 205 lakhs from Rs. 139 lakhs in Q1 FY25 (up about 47%), while total income more than doubled to Rs. 695 lakhs. Net profit jumped to Rs. 363 lakhs from Rs. 120 lakhs, helped by Rs. 127 lakhs of exceptional items, including a Rs. 112 lakh profit on sale of fixed assets. EPS for the quarter stood at Rs. 1.10 versus Rs. 0.36 in the year-ago quarter. The auditor flagged a 'Material Uncertainty Related to Going Concern' since the company is no longer in manufacturing. Separately, the existing promoters have signed a Share Purchase Agreement to sell a 74.98% stake to Roadway Solutions India Infra Ltd and two individuals for about Rs. 87.67 crore, with a mandatory open offer for an additional 25.02% at Rs. 47.14 per share, signalling a change of control.
Despite the sharp jump in profit, the underlying business is now just trading with very small revenues, and the auditor has raised a going concern uncertainty. Combined with the change of control via the open offer at Rs. 47.14 per share, shareholders should expect significant changes in the company's direction once the new promoter takes over. Short-term price action may be driven by the open offer price acting as a floor, but the long-term story depends entirely on the new promoter's plans.
