SpiceJet's board approved settling and restructuring aircraft lease obligations with two groups of lessors by issuing equity shares on a preferential basis. With Carlyle Aviation Management (CAML) and its affiliates, the company will issue up to 10.42 crore shares at Rs 42.32 each, aggregating USD 50 million. Separately, with GASL Aviation Holdings and affiliates, it will issue up to 83.34 lakh shares at the same price, aggregating USD 4 million. Together, the allotments would amount to roughly 11.25 crore shares, requiring shareholder and other regulatory approvals. The move effectively converts aircraft lease liabilities into equity stakes for the lessors.
This restructuring eases SpiceJet's lease debt burden and frees up cash flow, but it also dilutes existing shareholders as lessors take a combined meaningful stake in the company. Near-term sentiment may be mixed, though the resolution of long-pending lease disputes is a positive step for financial stability.
