Star Cement has informed the exchanges that it has applied to NSE and BSE for reclassification of 29 members of the Chamaria Group from the 'Promoter/Promoter Group' category to the 'Public Category' under Regulation 31A of the SEBI LODR Regulations. The board approved this reclassification at its meeting on February 6, 2026, and the application was filed on February 10, 2026. As of December 31, 2025, the Chamaria Group collectively held 2,44,60,037 shares, representing 6.052% of the company's total share capital. This reclassification will effectively reduce the promoter group's shareholding by 6.052% on paper, moving these shares into the public shareholding category. The filing is part of the standard procedural disclosure required under Regulation 31A(8)(c) of the LODR Regulations.
If approved by the stock exchanges, the promoter group's effective shareholding will drop by approximately 6.05%, which will correspondingly increase the public shareholding. This is a procedural reclassification, not an actual sale of shares, so there is no change in ultimate beneficial ownership or float. The reclassification could affect promoter-related compliance thresholds and may be viewed as a sign of the Chamaria family distancing themselves from the promoter tag, but is unlikely to materially impact the stock price.
