Sudarshan Chemical Industries' Board on July 25, 2025 recommended a Final Dividend of Rs 4.50 per equity share (225% on face value of Rs 2) for FY25, subject to shareholder approval. On the financials, standalone revenue from operations grew ~18% YoY to Rs 2,534 crore, while profit before exceptional items and tax surged ~67% to Rs 212 crore. Reported standalone PAT fell to Rs 141 crore from Rs 335 crore, mainly because FY24 had a one-time Rs 315 crore gain from the sale of Pune land. The big strategic event: the company completed the acquisition of German rival Heubach Group's global pigment business on March 3, 2025 for EUR 151.9 million (~Rs 1,390 crore), partly funded by a Rs 995 crore QIP/preferential share issue. The auditors (SRBC & Co LLP) gave an unmodified (clean) opinion on standalone results but a modified opinion on consolidated results. The Board also approved a Euro 25 million corporate guarantee for subsidiary hedging requirements.
Shareholders get a healthy 225% dividend; FY25 underlying (ex-exceptional) earnings were strong, but the Heubach deal has materially expanded the balance sheet and brought in non-controlling interests worth Rs 598 crore. The modified audit opinion on consolidated numbers is a yellow flag investors should track, even as the standalone numbers remain clean.
