Suditi Industries has received BSE's in-principle approval to issue 26,90,733 equity shares and 72,67,667 convertible warrants (each convertible into one equity share) to non-promoters on a preferential basis. The floor price for both is set at Rs. 59.12 per share. At the floor price, the equity shares would raise around Rs. 15.9 crore, while the warrants, if fully converted, could bring in an additional Rs. 43 crore, for a potential total of nearly Rs. 59 crore. The approval is subject to compliance with SEBI ICDR and LODR rules, and the company has been advised to strengthen internal controls and prevent trading violations by allottees.
This is a sizeable capital-raising move for a small-cap textile/apparel company and signals meaningful dilution ahead for existing shareholders, especially if the warrants are later exercised. Existing investors should watch for the final allotment price, identity of allottees, and the purpose of the fundraising.
