Sunteck Realty informed the exchanges that one of its promoter entities, SW Capital Private Limited, violated the insider trading code by executing a contra trade (buy and sell) within the six-month restricted window. SW Capital bought 1,600 shares on 17 December 2024 for about Rs. 8.21 lakh and sold the same quantity on 27 March 2025 for about Rs. 6.38 lakh, resulting in a net loss of Rs. 1,82,969 to the entity itself. The director, Mr. Amit Pitale, explained that the trade was done inadvertently with no intention to violate rules or make unfair gains. The company issued a warning letter, levied a Rs. 15,000 penalty which has already been paid online to SEBI's designated account on 9 May 2025, and will report the matter to its Audit Committee and Board. No prior violations were recorded since the last financial year.
This is a minor, self-reported procedural violation by a promoter entity that actually lost money on the trade. The penalty amount is small (Rs. 15,000) and the disclosure is largely a compliance formality, so the likely impact on shareholders or the stock price is negligible.
