The promoter group of Suraj Industries — Suraj Prakash Gupta, Shuchi Bahl, Vikas Gupta, along with PACs Anita Gupta, Rajesh Gupta, Ritesh Gupta and Global Spirits Pvt Ltd — disclosed acquisition of 1,18,42,217 equity shares under Regulation 29(2). Of these, 1,18,41,217 partly paid-up shares were allotted to them on November 10, 2025 through the company's Rights Issue, and 1,000 shares were bought by Vikas Gupta in the open market on December 24, 2024. Combined promoter and PAC holding rose from 72.89 lakh shares (46.01%) to 1.91 crore shares, but the percentage holding actually fell to 39.49% because the company's total share capital expanded sharply from Rs 15.84 crore to Rs 48.45 crore due to the rights issue. Suraj Prakash Gupta's individual stake moved from 44.31% to 37.89%. No pledges or encumbrances were created or invoked.
The rights issue led to significant dilution of promoter holding — their stake slipped below the 40% mark despite subscribing to the issue. There is no pledge or encumbrance activity, so no immediate governance red flag, but investors should note that promoter control has weakened relative to the expanded share base.
