On the reaction day the stock moved 0.5 pts less than Nifty Smallcap 250 and 0.4 pts less than its Petrochemicals peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.

Swan Corp's Management Committee approved on February 13, 2026 the issuance of a corporate guarantee of Rs. 1,150 crores to secure a Rupee Term Loan sanctioned by NaBFID (National Bank for Financing Infrastructure and Development) to its step-down subsidiary, Swan Defence and Heavy Industries Limited. The guarantee is for the full loan amount and there is no direct promoter or promoter group interest in the transaction, only indirect interest through Swan Corp's holding in the subsidiary. The company has stated there is no immediate pecuniary impact on Swan Corp from issuing this guarantee.
While management says there is no immediate financial impact, this adds a Rs. 1,150 crore contingent liability for Swan Corp — if the step-down subsidiary defaults on the NaBFID loan, Swan Corp would need to honour the guarantee. Shareholders should watch the financial health of Swan Defence and Heavy Industries and the purpose of this large borrowing.
