Switching Technologies Gunther's board approved acquiring 100% of Tekfoods International (FMCG, FY25 turnover Rs 18.16 cr) and 100% of Samridh Overseas Trading (FY25 turnover Rs 149.65 cr) through share swap. Total consideration of Rs 237.43 cr to be paid via preferential issue of 2.42 cr shares at Rs 98 each (floor Rs 97.49). Swap ratios: 5.5:1 for Tekfoods, 13.65:1 for Samridh. Authorised capital raised from Rs 6 cr to Rs 30 cr. Both are related party deals as promoters are allottees. EGM set for Aug 1, 2026.
