Swojas Foods Ltd's Board has approved the conversion of 13,21,000 convertible warrants held by non-promoter investor Rajesh Nanubhai Jhaveri into an equal number of fully paid-up equity shares. The conversion was executed at ₹16.50 per share (face value ₹10 + premium ₹6.50), with the investor paying the balance exercise price of ₹12.375 per share (75% of issue price), totaling ₹1,63,47,375. The company's paid-up equity share capital has increased from ₹38.66 crore (3,86,62,650 shares) to ₹39.98 crore (3,99,83,650 shares) as a result of this conversion. The new equity shares will rank pari-passu with existing shares. This follows the earlier preferential allotment of 2,59,84,500 warrants in December 2025, and Jhaveri now has zero outstanding warrants remaining after this conversion.
This conversion results in equity dilution for existing shareholders as 13.21 lakh new shares have been issued. However, it brings in fresh capital of approximately ₹1.63 crore into the company without taking on debt. The stock may see mild dilution pressure in the short term.
