Swojas Foods Ltd's board, at its meeting on February 27, 2026, approved the conversion of 16,00,000 convertible warrants into 16,00,000 equity shares of face value Rs. 10 each. The warrants were originally issued at Rs. 16.50 per warrant (including Rs. 6.50 premium) under a preferential allotment in December 2025. The warrant holder, Onelife Capital Advisors Limited (non-promoter), paid the remaining 75% exercise price of Rs. 12.375 per warrant, aggregating to Rs. 1.98 crore. As a result, the company's paid-up equity capital rose from Rs. 35.06 crore (3.50 crore shares) to Rs. 36.66 crore (3.66 crore shares). Onelife still holds 84,00,000 warrants pending conversion.
This is a routine conversion of previously issued warrants, resulting in equity dilution of about 4.6% from the converting shares. For existing shareholders, the share count increases by 16 lakh shares; no new fundraising beyond what was already committed occurs.
