Swojas Foods has converted 21,00,000 convertible warrants into equity shares following a board meeting held on January 21, 2026. Two non-promoter investors — Rajesh Nanubhai Jhaveri (20,00,000 shares) and Murtuza Kaizarbhai Mandorwala (1,00,000 shares) — paid the remaining 75% exercise price of ₹12.375 per share, bringing in ₹2.60 crore to the company. The original warrants were allotted on December 22, 2025 at ₹16.50 per warrant (face value ₹10, premium ₹6.50), with only 25% paid at that time. As a result, the paid-up equity capital rises from ₹30.96 crore to ₹33.06 crore, with total shares increasing from 3.10 crore to 3.31 crore. The new shares will rank equally with existing equity shares, and listing approval will be sought from BSE.
Existing shareholders face about 6.3% dilution as the share count expands from 3.10 crore to 3.31 crore. The company receives ₹2.60 crore in fresh capital, but this is completion of a previously announced preferential warrant issue rather than new fundraising, so any stock price reaction is likely to be limited.
