Swojas Foods' board, at its meeting on January 21, 2026, approved the conversion of 21,00,000 warrants into an equal number of equity shares of face value ₹10 each. These warrants were originally allotted on a preferential basis in December 2025 at an issue price of ₹16.50 per warrant (including a ₹6.50 premium). Two non-promoter investors — Rajesh Nanubhai Jhaveri and Murtuza Kaizarbhai Mandorwala — paid the remaining 75% of the issue price (₹12.375 per warrant), bringing in about ₹2.60 crore in fresh capital for the company. As a result, the paid-up equity share capital rose from ₹30.96 crore (3.10 crore shares) to ₹33.06 crore (3.31 crore shares), a dilution of roughly 6.8% for existing shareholders. About 13.21 lakh warrants held by one investor still remain pending conversion.
Mild share dilution of around 6.8% for existing shareholders, partly offset by inflow of ~₹2.6 crore at a price above face value. Watch for further warrant conversions and any potential price pressure from the increased share count.
