The Board of Swojas Foods Ltd approved the conversion of 16,00,000 convertible warrants into 16,00,000 fully paid-up equity shares of face value Rs. 10 each at an issue price of Rs. 16.50 per share (including Rs. 6.50 premium). The conversion was exercised by non-promoter holder Onelife Capital Advisors Limited, who paid the remaining 75% balance of Rs. 12.375 per warrant, aggregating Rs. 1.98 crore. This is part of a larger 2,59,84,500 warrants originally allotted via preferential allotment in December 2025. Following this conversion, the company's paid-up equity capital rose from Rs. 35.06 crore (3,50,62,650 shares) to Rs. 36.66 crore (3,66,62,650 shares). About 84,00,000 warrants from the same holder remain pending conversion.
This results in a modest equity dilution of about 4.6%, increasing the total share count. Shareholders should note that further dilution is likely as 84 lakh more warrants are still outstanding and may be converted in the future.
