Syrma SGS Technology Limited reported audited standalone FY26 revenue of Rs. 43,671.54 million, up 20.8% from restated FY25 revenue of Rs. 36,157.51 million. Profit After Tax grew 74% to Rs. 2,933.69 million (FY25 restated: Rs. 1,686.59 million), driven by a new labor code impact of Rs. 32.47 million recorded as an exceptional item. EBITDA margin expanded to approximately 9.4% from 6.8% year-on-year. The Board recommended a final dividend of Rs. 1.50 per share (15% on Rs. 10 face value), subject to shareholder approval at the AGM. Walker Chandiok & Co LLP issued an unmodified (clean) audit opinion. The auditor's report includes an Emphasis of Matter regarding the Scheme of Amalgamation of two subsidiaries (SGS Infosystems and SGS Tekniks) with appointed date April 1, 2023, approved by NCLT in October 2025, with comparative figures restated accordingly.
Strong financial performance with revenue growth of ~21% and PAT growth of ~74% demonstrates operational strength. The clean audit opinion and EBITDA margin expansion are positive signals. The amalgamation restatement (Emphasis of Matter) does not affect the clean opinion. QIP proceeds of Rs. 10,000 million were fully utilized by March 2026.
