Indian Hotels Company Limited (IHCL), a promoter group entity, has sold its entire 25.52% stake (1,60,00,400 equity shares) in Taj GVK to Ms. Shalini Bhupal, another promoter shareholder, via an inter-se transfer at ₹370 per share, valuing the deal at roughly ₹592 crore. As a consequence, the 2011 Restated and Amended Shareholders' Agreement and the 2007 Name and Trademark License Agreement have been terminated, cancelling all special rights IHCL previously held, such as director nominations and first rights on share issuances. IHCL's nominee directors have stepped down from the Board with effect from December 30, 2025, and the company will change its corporate name by removing 'Taj' as required under the termination agreement. Going forward, IHCL will have no management or controlling rights in Taj GVK.
This marks a full separation of Taj GVK from the Taj/IHCL group. While the promoter group retains the same aggregate ownership, the company will lose the prestigious 'Taj' brand and IHCL's operational and management backing, which could weigh on the stock in the near term due to brand-identity concerns and loss of group synergies.
