Taj GVK Hotels & Resorts has disclosed an inter-se transfer of promoter group shares. Mrs. Shalini Bhupal, the company's Managing Director, CEO and Promoter, acquired 1,60,00,400 equity shares (25.52% of paid-up capital) from The Indian Hotels Company Limited (Taj Group parent) at Rs. 370 per share on 30 December 2025. Post-transaction, Shalini Bhupal's holding rose from 5,000 shares (0.01%) to 1,60,05,400 shares (25.53%), while Indian Hotels Company Limited's holding dropped from 25.52% to nil. The transaction is exempt from an open offer under Regulation 10(1)(a)(i) of SEBI Takeover Code since it is a transfer within the promoter group. Overall promoter group shareholding in the company remains unchanged.
This is a reshuffle within the promoter family and does not change the total promoter group holding or result in any change of control. Existing shareholders should not see any material impact on stock price or ownership structure as it is essentially an internal reorganization of the Taj Group's stake.
