Tanla Platforms Limited has published the Public Announcement for its proposed buyback of up to 20 lakh fully paid-up equity shares (face value INR 1 each) at a price of INR 875 per share, for an aggregate amount not exceeding INR 175 crore. The buyback will be carried out on a proportionate basis through the tender offer route using the stock exchange mechanism. The offer price of INR 875 represents about a 40% premium over the closing price on NSE and BSE on June 13, 2025, and an even larger 85-86% premium over the 60-trading-day volume weighted average price. The record date for determining eligible shareholders has been fixed as Friday, July 25, 2025. The buyback was approved by the Board on June 16, 2025 and by shareholders on July 17, 2025.
The buyback at INR 875 per share, at roughly a 40% premium to the recent market price, signals management's confidence in the company's valuation and is generally supportive of the stock price. Shareholders of record on July 25, 2025 will be eligible to tender shares proportionally through the tender offer process.
