The Exchange has received the disclosure under Regulation 29(2) of SEBI (Substantial Acquisition of Shares & Takeovers) Regulations, 2011 for Umadevi Maheshwari & Others

Umadevi Maheshwari, part of the promoter/promoter group of Taparia Tools Ltd, has disclosed disposal of 4,83,644 equity shares (3.18% of total share capital) via an off-market inter-se transfer as a gift without consideration to her son, Rahul Maheswari, on 03.12.2025. After this transfer, her individual holding in the company becomes nil (down from 3.18%). The disclosure was made in prescribed format under SEBI Takeover Regulations, listing multiple promoter-group members as persons acting in concert. The company's total equity share capital remains unchanged at 1,51,78,750 shares of Rs.10 each. Since this is a gift to an immediate relative and an inter-se promoter-family transfer, there is no change in overall promoter shareholding of the company.
