Tata Motors has announced the proposed acquisition of 100% of Iveco Group N.V. (excluding the defence business) through a Voluntary Tender Offer at €14.1 per share, implying a total equity value of €3.8 billion. The Iveco Board has recommended the deal, and Exor (largest shareholder) has given an irrevocable commitment to tender its shares. Funding of €3.8 billion is secured through a bridge facility from Morgan Stanley and MUFG, to be termed out within 12 months via a mix of equity and long-term debt. The deal would make the combined entity the third-largest truck maker globally with volumes of 230K units (>6T trucks), diversifying Tata's CV business into Europe and Latin America. Management targets EPS breakeven in 2 years and full acquisition debt repayment in 4 years, with annual free cash flow synergies of up to 0.5% of joint revenue from FY28 onwards. The transaction is expected to close by April 2026, subject to regulatory approvals.
