Tejassvi Aaharam's board has approved raising the authorised share capital from Rs. 25 crores to Rs. 75 crores to accommodate a stock-swap acquisition. The company will acquire 100% of Funk Foods Private Limited (FFPL), a freeze-dried food products maker, by issuing up to 5.11 crore equity shares at Rs. 10 each, valued at about Rs. 51.16 crores, on a swap basis with no cash outflow. FFPL reported turnover of Rs. 7.97 crores in FY25, sharply up from Rs. 1.71 crores in FY24. For Q3 FY26, the company's standalone revenue surged to Rs. 30.11 crores from Rs. 3.53 crores a year earlier, but it still posted a small loss of Rs. 6.61 lakhs. Cumulative losses for 9M FY26 stood at Rs. 59.96 lakhs. A postal ballot has been initiated to seek shareholder approval for the preferential issue.
Shareholders will see significant dilution as over 5.11 crore new shares are issued at par (Rs. 10), but the deal is cash-neutral and brings a fast-growing food business into the company. Existing shareholders should watch for the postal ballot outcome and the post-issue shareholding pattern, as several incoming allottees will be classified as new promoters.
