Thacker & Company Ltd reported audited FY25 results on 27 May 2025. On a standalone basis, Profit Before Tax rose to Rs. 431.71 lakhs from Rs. 307.85 lakhs, and Net Profit after tax grew to Rs. 353.32 lakhs from Rs. 272.41 lakhs (~30% growth). On a consolidated basis, which includes two associate companies (AMJ Land Holding and Pudumjee Paper Products), Net Profit jumped to Rs. 448.84 lakhs from about Rs. 272.41 lakhs, driven by strong associate contributions. Consolidated total income from operations rose from about Rs. 13,678 lakhs to Rs. 16,452 lakhs (~20% growth). The Board did not recommend any dividend for FY25. The auditor (M/s P.R. Agarwal & Awasthi) issued an unmodified opinion. Cash flow from operations remained negative at Rs. (217.08) lakhs, though investing activities were positive due to rental and dividend income. The company also completed the merger of its wholly owned subsidiary Fujisan Technologies Limited, effective 22 May 2025, with results recast from the appointed date of 1 April 2022. A new Secretarial Auditor, M/s Parikh & Associates, has been appointed for a 5-year term.
Shareholders see strong profit growth, especially on a consolidated basis, but get no dividend this year. The negative operating cash flow despite accounting profits is a watchpoint, partly offset by steady rental and dividend income. The merger of Fujisan Technologies streamlines the group structure.
