Zuari Maroc Phosphates Private Limited has acquired 2,90,37,000 equity shares (24.50%) of Mangalore Chemicals & Fertilizers Ltd on October 13, 2025. This is an off-market transfer done as part of a composite scheme of arrangement involving MCFL, Paradeep Phosphates Ltd and their shareholders and creditors. Before this acquisition, Zuari Maroc held zero shares in MCFL, and after the deal they hold 24.50% of the equity capital. With this acquisition, Zuari Maroc Phosphates has formally become a member of the promoter group of MCFL.
This restructures the promoter group of MCFL by bringing in Zuari Maroc Phosphates as a new promoter entity with a significant 24.50% stake. Shareholders should expect a more consolidated promoter control, and the consolidation between MCFL and Paradeep Phosphates under the Adventz Group umbrella may lead to operational synergies in the fertiliser business.
