The Exchange has received the disclosure under Regulation 29(2) of SEBI (Substantial Acquisition of Shares & Takeovers) Regulations, 2011 for Shamrock Pharmachemi Pvt Ltd & PACs
Awaiting price reaction for this filing.
Shamrock Pharmachemi Private Limited, part of the promoter group, bought 2,68,000 equity shares (4.94% of paid-up capital) of Shamrock Industrial Company Ltd on 28 March 2025 through an off-market transaction. This lifted Shamrock Pharmachemi's individual holding from 4.68% to 9.62% of the company. Along with 15 Persons Acting in Concert (PACs) from the Khokhani family and related group companies, the combined promoter group holding rose from 38.04% (20,64,869 shares) to 42.98% (23,32,869 shares). The company's total equity capital stands at 54,28,414 shares of Rs. 10 each. The 4.94% acquisition size is just below the 5% annual creeping acquisition cap permitted under SEBI Takeover Rules for shareholders in the 15-55% bracket, suggesting the promoter group is strategically using the maximum allowed limit.
Positive sign for retail shareholders as the promoter group is increasing its skin in the game, indicating confidence in the company. Promoter holding has moved closer to the 50% mark (now 42.98%) but is still well below it. Since the deal was off-market, general investors could not participate directly.
