Capfin India's promoters Abhishek Narbaria and Umesh Kumar Sahay have filed a disclosure under SEBI's Takeover Regulations reporting a reduction in their shareholding. Each of them sold 36,765 equity shares, amounting to 1.25% of the pre-transaction share capital (1.19% on a diluted basis), for a combined sale of 73,530 shares (2.50%). As a result, the promoter group's combined voting stake fell from 66.18% to 65.31%. The filing also coincides with a preferential allotment of 73,530 equity shares dated March 28, 2025, which raised the total equity share capital from 28.64 lakh to 29.38 lakh shares. Sixth Ventures Advisors LLP, the PAC, holds 1.50 lakh convertible warrants (4.86% on a diluted basis) and did not sell any shares.
The promoter group has trimmed its holding by about 2.5% but still controls over 65% of the company, so this is a routine regulatory disclosure rather than a change-of-control event and is unlikely to materially affect the stock price.
