Rolta India has fixed Saturday, January 17, 2026 as the record date for delisting its equity shares from BSE and NSE. The delisting follows an NCLT Mumbai bench order dated December 15, 2025, which approved a resolution plan submitted by Ashdan Properties Private Limited under Section 31 of the Insolvency and Bankruptcy Code, 2016. The resolution plan, originally dated April 22, 2024, provides for the delisting and subsequent extinguishment of existing equity shares. The company has already filed delisting applications with NSE (December 24, 2025) and BSE (December 26, 2025). Because the delisting is being done as part of the approved resolution plan under Regulation 3(2)(b)(i) of SEBI's Delisting Regulations, the standard delisting process (including an exit offer to public shareholders) does not apply.
Existing shareholders should be aware that their shares will be delisted and extinguished as part of the IBC resolution plan, with no standard delisting offer price applicable under this route. Shareholders should clarify any entitlements with the resolution applicant or consult the resolution plan documents, as treatment of equity in IBC-driven delistings can result in limited or no recovery for public shareholders.
