API Holdings, Thyrocare's ultimate holding company, plans to raise up to Rs 1,700 crore through secured, redeemable, non-convertible debentures to fully redeem existing debt of up to Rs 1,545.38 crore. Promoter Docon, which owns 71.06% of Thyrocare, will pledge up to 61% of the company's equity. Thyrocare is not a party, and control is not expected to change unless the pledge is enforced after a default.
Refinancing reduces promoter-group debt pressure, but the large share pledge raises enforcement and control risk if the new debentures default.
