Tirupati Tyres Limited has filed an application with BSE seeking a full waiver of a fine of Rs. 1,53,400 (inclusive of GST) imposed for alleged non-compliance with Regulation 20 of SEBI (LODR), which relates to the constitution of a Stakeholders Relationship Committee. The company claims it had already complied with the requirement within the stipulated time and has filed a revised Corporate Governance report on 31 March 2025 as evidence. BSE had also warned of freezing the promoter's demat account as a consequence, which the company is requesting be put on hold. The company paid an application fee of Rs. 10,000 via IMPS on 1 April 2025 to process the waiver request.
This is a minor regulatory compliance matter and not a financial or legal crisis. The penalty amount is very small relative to the company and does not materially affect shareholder value. However, if the waiver is denied, the promoter's demat account could be frozen, which would prevent them from trading in the stock until the fine is settled.
