Titan Intech's Board approved the allotment of 95 lakh equity shares following the conversion of convertible equity share warrants. The warrants were originally issued via preferential allotment at Rs. 55 per share (face value Rs. 10 plus premium Rs. 45). Three allottees received shares: Eiravathi Properties Pvt Ltd (50 lakh shares), Weavllite Apparels Pvt Ltd (40 lakh shares), and Pinisetti Satya Hemalatha (5 lakh shares). The company also appointed M/s. Vinay Babu Gade as Secretarial Auditor for FY 2025-26 and 2026-27. The share face value has been reduced to Rs. 1, which is why 95 lakh shares are being allotted instead of the original 9.5 lakh warrants.
Existing shareholders will face dilution as 95 lakh new shares are issued, increasing the outstanding share capital. The conversion of warrants at Rs. 55 indicates institutional confidence in the company's valuation, though the expanded share base could moderate per-share metrics.
