Transchem Limited announced its unaudited results for the quarter and nine months ended December 31, 2025. Total income for 9M FY26 was Rs 555.98 lakhs, down about 22.5% from Rs 717.68 lakhs in 9M FY25. Net profit fell sharply to Rs 220.19 lakhs from Rs 449.61 lakhs, a drop of roughly 51% year-on-year. Q3 FY26 (standalone) total income was Rs 224.78 lakhs with net profit of Rs 52.94 lakhs and basic EPS of Rs 0.43. The statutory auditor, M/s Mathur & Co., issued a clean limited review report with no qualifications. Shareholders had earlier (December 2025) approved the issue of up to 6.15 crore warrants on a preferential basis at Rs 75 per warrant; BSE in-principle approval is still awaited and no warrants have been allotted yet.
Sharp decline in both revenue (~22%) and profit (~51%) on a 9-month YoY basis is a negative signal for shareholders, though the company remains profitable. The proposed large warrant issue, if fully converted, would be materially dilutive to existing shareholders and warrants close monitoring.
