The Board of Transport Corporation of India (TCI) approved audited financial results for Q4 and FY ended 31st March 2025, with the auditor (Brahmayya & Co.) issuing an unmodified (clean) opinion on both standalone and consolidated results. On a consolidated basis, FY25 revenue from operations rose to Rs. 4,491.8 crore from Rs. 4,024.2 crore in FY24 (~11.6% growth), while net profit for the year was Rs. 354.5 crore versus Rs. 350.8 crore (restated). Operating cash flow improved to Rs. 359.2 crore from Rs. 299.4 crore. The Board granted 1,22,000 ESOP options at Rs. 550 each, and approved raising up to Rs. 200 crore via non-convertible debentures, subject to shareholder approval. Ms. Archana Pandey resigned as Company Secretary effective 15th May 2025, with the Group CFO temporarily overseeing compliance. Additionally, prior period figures were restated following the amalgamation of TCI Ventures and Stratosol Logistics with the company.
The clean audit opinion and steady earnings, coupled with strong operating cash flows, are positive signals. The proposed Rs. 200 crore NCD issuance may modestly increase leverage but supports growth funding. Shareholders should note the resignation of the Company Secretary and the restatement of prior period numbers due to the amalgamation, though these are procedural rather than performance concerns.
