Transvoy Logistics India held its 10th Annual General Meeting on September 11, 2025 via video conferencing, chaired by CMD Ravindrakumar Joshi. Shareholders approved an increase in the authorised share capital and a corresponding amendment to the Memorandum of Association (MOA). A special resolution was passed to issue up to 35,86,960 fully convertible warrants at Rs. 100 each to promoters and non-promoter investors on a preferential basis. Remuneration of CMD Ravindrakumar Joshi, Whole-time Director Naitik Joshi, and Non-executive Director Dipti Doshi was revised. Audited financials for FY ending March 31, 2025 were adopted, and Dipti Doshi was re-appointed as a director retiring by rotation. The AGM lasted 31 minutes, and voting results are to be declared within two working days.
The preferential warrant issue could dilute existing shareholders' stake once converted into equity, while the higher authorised share capital signals plans for future fundraising. The upward revision in directors' remuneration means higher cash outflows and may draw investor attention to governance.
