Triveni Engineering & Industries Limited has submitted a Rectification Order dated May 18, 2026 passed by the NCLT Allahabad Bench. This order corrects three inadvertent errors found in the original NCLT Order dated May 7, 2026, which had sanctioned the Composite Scheme of Arrangement involving Triveni Engineering, Sir Shadi Lal Enterprises Limited, and Triveni Power Transmission Limited. The corrections include deletion of certain equity share directions, correction of fee payment references from Applicant Company 2 to Company 1, and removal of a reference to Company 3's memorandum filing requirement. The Rectification Order is to be read as part and parcel of the original order.
This is a routine administrative correction to an already-approved NCLT order and does not change the substantive terms of the scheme. The composite scheme involving amalgamation of Sir Shadi Lal Enterprises into Triveni Engineering and demerger of PTB business to Triveni Power Transmission remains approved and binding on all parties.
