TTI Enterprise Ltd's Board of Directors, at its meeting on 25th February 2026, approved altering the Main Object Clause of its Memorandum of Association to significantly widen the company's permitted business activities. The new scope spans general retail and wholesale trading, food products (dairy, beverages, packaged foods), supermarket and hypermarket operations, food processing and cold storage, jewellery manufacturing and trading (gold, silver, gems), a broad range of agriculture and allied activities (farming, contract farming, agri-machinery, agro-processing, warehouses, e-commerce of farm goods), and the manufacture and sale of alcoholic beverages including IMFL, whisky, brandy, rum, gin, vodka, beer, ethanol and biodiesel. The Board also approved an addendum to the Postal Ballot Notice dated 20th February 2026 to seek shareholder approval for this change. Shareholder and regulatory approvals are still required for the alteration to take effect.
This is a major diversification move — if approved by shareholders, the company will be legally permitted to enter food retail, jewellery, agriculture, and liquor businesses, opening new revenue avenues but also introducing execution and regulatory risks. For shareholders, the stock could see short-term volatility due to the scope of the pivot, with no immediate financial impact until new businesses are launched.
