The Board approved audited standalone and consolidated financial results for FY25 with an unmodified auditor opinion. Standalone revenue from operations grew modestly to Rs. 7,892.53 Cr from Rs. 7,610.51 Cr (up ~3.7%), but profit after tax surged to Rs. 1,296.66 Cr from Rs. 734.51 Cr (up ~76.5%), boosted significantly by a one-time Rs. 569 Cr fair value gain on CCPS held in subsidiary TI Clean Mobility. EPS stood at Rs. 67.03 vs Rs. 38.00 in FY24. The company booked Rs. 19.13 Cr as exceptional items, being impairment losses in Moshine Electronics and Aerostrovilos Energy. The Board recommended a final dividend of Rs. 1.50 per share, taking total FY25 dividend to Rs. 3.50 per share. The 17th AGM is scheduled for August 1, 2025. Additionally, the Board approved long-term borrowing of up to Rs. 300 Cr for FY26, appointed Ms. Shelina Pranav Parikh as Independent Director for 3 years, and named Sridharan & Sridharan Associates as Secretarial Auditor for 5 years.
Strong headline PAT growth is largely driven by a non-cash fair value gain rather than core operations, so underlying business performance shows only modest revenue growth. Total dividend of Rs. 3.50/share is positive for income-seeking shareholders. New borrowing approval signals expansion plans for FY26.
